1. Agreement to Terms

These Terms of Service ("Terms") form a legally binding agreement between you ("Client", "you", or "your") and Baron AI Solutions Ltd ("Baron AI Solutions", "we", "us", or "our"), a company registered in England and Wales.

By accessing our website, creating an account, or purchasing any of our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree with any part of these Terms, you must not use our services.

2. Our Services

Baron AI Solutions provides AI-powered business automation services ("Services"), including but not limited to:

• Automation Nodes — pre-built workflows that automate specific business tasks
• Integration services connecting third-party platforms and tools
• Custom Node development for Enterprise clients
• Onboarding, configuration, and support services

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with reasonable notice. We will always endeavour to notify you in advance of any material changes.

3. Accounts & Registration

To access our Services you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your account information to keep it accurate
• Keep your login credentials confidential and not share them with third parties
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activity that occurs under your account

You must be at least 18 years old and have the legal capacity to enter into contracts to create an account. We reserve the right to refuse registration or cancel accounts at our discretion.

4. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You must not:

• Use the Services in any way that violates applicable local, national, or international law or regulation
• Transmit unsolicited or unauthorised advertising or promotional material (spam)
• Attempt to gain unauthorised access to any part of our systems or infrastructure
• Introduce malicious code, viruses, or other harmful material
• Reverse engineer, decompile, or disassemble any part of the Services
• Resell, sublicense, or otherwise commercialise the Services without our written consent
• Use the Services to process data in violation of applicable data protection laws

We may suspend or terminate your access immediately if we believe you are in breach of this section.

5. Payment & Billing

Our Services are provided on a subscription basis. By subscribing you authorise us to charge your chosen payment method on a recurring basis as set out in your chosen plan.

• Monthly plans are billed on the same day each month
• Annual plans are billed upfront for the full year at the discounted rate
• All prices are quoted exclusive of VAT unless stated otherwise
• You are responsible for all applicable taxes in your jurisdiction

If a payment fails we will attempt to notify you and retry the charge. Continued failure to pay may result in suspension of your account. We do not offer refunds for partial subscription periods, except where required by law.

We reserve the right to change our pricing with 30 days' written notice. Your continued use of the Services after the notice period constitutes acceptance of the new pricing.

6. Intellectual Property

All intellectual property rights in the Services, including our software, Node templates, documentation, and branding, are owned by or licensed to Baron AI Solutions. These Terms do not grant you any rights to our intellectual property other than the limited licence to use the Services for the purposes described herein.

Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by us without restriction or compensation to you.

7. Your Data

You retain full ownership of any data, content, or materials you upload to or process through our Services ("Client Data"). You grant us a limited licence to use Client Data solely to provide and improve the Services.

We will not sell your Client Data to third parties, use it for our own marketing, or share it except as necessary to deliver the Services or as required by law. Please see our Privacy Policy for full details of how we handle personal data.

8. Warranties & Disclaimers

We warrant that we will provide the Services with reasonable care and skill. However, the Services are provided "as is" and we make no further warranties, express or implied, including but not limited to:

• That the Services will be uninterrupted, error-free, or completely secure
• That results obtained from the Services will be accurate or reliable
• That the Services will meet your specific requirements

Nothing in these Terms limits or excludes any warranty or right that cannot be limited or excluded under applicable law, including the Consumer Rights Act 2015.

9. Limitation of Liability

To the fullest extent permitted by law, Baron AI Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Services.

Our total aggregate liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you to us in the three months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

You may cancel your subscription at any time via your account dashboard or by contacting us. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your access with immediate effect if you breach these Terms, fail to make payment, or if we are required to do so by law. Upon termination, your right to use the Services will cease and we may delete your account data after a 30-day grace period.

Clauses relating to intellectual property, liability, and governing law shall survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Baron AI Solutions regarding your use of our Services.
